Terms of Service

1. Services Provided
Shane Barron ("Service Provider") provides custom software development, web development, consulting, and related technology services ("Services") to clients. All Services are performed on a project basis or ongoing retainer as agreed upon in writing.
2. Project Agreements
Each project begins with a written agreement specifying:
- Scope of work and deliverables
- Timeline and milestones
- Payment terms and pricing
- Communication protocols
- Revision and approval processes
3. Payment Terms
Unless otherwise specified:
- Payment is required according to the schedule outlined in the project agreement
- Invoices are due within 15 days of issuance
- Late payments may result in project suspension and/or late fees
- Deposits are non-refundable once work has commenced
4. Client Responsibilities
Clients agree to:
- Provide timely feedback and approvals
- Supply necessary content, assets, and access credentials
- Respond to communications within agreed timeframes
- Maintain backup copies of all data and content
5. Intellectual Property
Upon full payment:
- Client owns all custom code and designs created specifically for their project
- Service Provider retains rights to reusable components, frameworks, and methodologies
- Service Provider may showcase completed work in portfolio unless explicitly restricted
- Third-party software licenses remain property of their respective owners
6. Warranties and Disclaimers
Service Provider warrants that:
- Services will be performed in a professional and workmanlike manner
- Deliverables will materially conform to agreed specifications
- Original work will not infringe on third-party intellectual property
Service Provider does not warrant that:
- Software will be error-free or uninterrupted
- All bugs will be identified during development
- Third-party services will remain available or compatible
7. Support and Maintenance
Post-launch support terms:
- Bug fixes for reported issues within 30 days of launch are included
- Ongoing maintenance requires a separate support agreement
- Emergency support may be available at premium rates
- Feature additions and enhancements are billed separately
8. Limitation of Liability
Service Provider's total liability for any claim arising from Services shall not exceed the total amount paid by Client for the specific project in question. Service Provider is not liable for indirect, incidental, consequential, or punitive damages including but not limited to lost profits, data loss, or business interruption.
9. Confidentiality
Both parties agree to:
- Keep confidential information private during and after the project
- Use confidential information only for purposes of the project
- Not disclose confidential information to third parties without consent
- Return or destroy confidential materials upon project completion
10. Termination
Either party may terminate the agreement with written notice. Upon termination:
- Client pays for all work completed to date
- Service Provider delivers work-in-progress in its current state
- Each party returns confidential materials belonging to the other
- Outstanding invoices become immediately due
11. Hosting and Domain Services
If Service Provider manages hosting or domains:
- Client maintains ownership of all domains and hosting accounts
- Service Provider acts as authorized agent for management purposes
- Client is responsible for renewal fees and ongoing hosting costs
- Service Provider will transfer access credentials upon request or termination
12. Third-Party Services
Projects may utilize third-party services (APIs, hosting, etc.). Client acknowledges:
- Third-party services are subject to their own terms and conditions
- Service Provider is not responsible for third-party service outages or changes
- Client may need separate accounts or agreements with third-party providers
- Integration issues with third-party services may require additional billable time
13. Changes to Terms
Service Provider reserves the right to modify these terms at any time. Changes will be effective immediately upon posting. Continued use of Services after changes constitutes acceptance of modified terms. Project-specific agreements supersede these general terms where they conflict.
14. Dispute Resolution
In the event of a dispute:
- Parties agree to first attempt resolution through good-faith negotiation
- If negotiation fails, parties agree to mediation before litigation
- Any legal action shall be governed by the laws of the State of Florida
- Venue for any legal proceedings shall be in Tampa, Florida
